Bespoke services for strategic business transformations in biotech

Our Approach: The Risk-Sharing Partner

Counterpoint is a Business Transformation Complement Dedicated to Biotech

Biotechs navigate long-term capital-intensive cycles where value is rarely linear.  Unwanted events such as a clinical failure, regulatory delay, market downturn, liquidity or governance crisis shift a company's trajectory.

Re-establishing value may require resolute portfolio prioritization, strengthened strategic partnerships, and a pragmatic focus on near-term milestones.  Objective operational, strategic adjustments are vital to value creation and recovery.

As partners, we are complementary. We work collaboratively with the CEO and/or Board to deliver and execute tailored solutions through advisory or interim leadership roles.

Our services include:

  • Financial risk exposure mitigation: managing and executing recapitalizations, debt restructurings, and equity re-financings
  • Contract renegotiations and vendor realignments: securing key relationships for strategic pivots both near and long term
  • In-and out-licensing monetization and asset sales: unlocking valuation, releasing liens, and/or cash
  • Company (re-)formation and business development: rebuilding existing and new business activities toward growth

We leverage operational insight, disciplined finance and strategic expertise to drive transformative value in biotech.

Asset Sale to Release Liens

Wind-down of biotech with extremely limited cash (13-week cashflow forecast for CEO retention and essentials), we collaborated and executed a full loan payoff and lien release from an IP/Asset sale with a single suitor.  We negotiated, restructured and repriced significant high-risk debt assets to include a large syndicated loan
